Acceptance of Terms
PLEASE READ THESE TERMS OF USE CAREFULLY. BY ACCESSING OR USING THIS WEBSITE AND ANY RELATED PAGES, CONTENT, OR SERVICES THAT LINK TO THESE TERMS (THE “SITE”), YOU AGREE TO BE BOUND BY THESE TERMS OF USE AND ALL POSTED POLICIES (COLLECTIVELY, THE “TERMS”). IF YOU DO NOT AGREE, DO NOT USE THE SITE.
Intrepid may update these Terms at any time in its sole discretion. Changes are effective upon posting. Your continued use of the Site after changes post constitutes acceptance.
About the Site
The Site provides information about Intrepid Acquisition Holdings, LLC and its affiliates and subsidiaries (“Affiliates”). Intrepid will handle personal data collected via the Site in accordance with our Privacy Policy and Cookie Policy.
Intellectual Property
All content on the Site—including text, designs, graphics, logos, icons, images, video, audio, software, downloadable materials, and their arrangement (collectively, “Materials”)—is owned by Intrepid, its Affiliates, or licensors and is protected by U.S. and international intellectual property laws.
Except as expressly permitted in these Terms, you may not copy, reproduce, distribute, display, perform, publish, modify, create derivative works from, upload, transmit, sell, license, or otherwise exploit the Materials without Intrepid’s prior written permission.
You may make a single copy of Materials for internal, non-commercial use only, provided you keep all copyright and proprietary notices intact and do not modify the Materials.
“Intrepid Acquisition Holdings,” “Intrepid,” and all related names, logos, product and service names, designs, and slogans are trademarks or service marks of Intrepid or its licensors. You may not use them without prior written permission.
Permitted Use; Prohibited Conduct
You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable law or regulation;
- Upload, transmit, or distribute any viruses, malware, or other harmful code;
- Attempt to gain unauthorized access to the Site, servers, or networks;
- Interfere with or disrupt the operation or security of the Site (including by imposing an unreasonable load);
- Infringe the rights of Intrepid or any third party (including IP, privacy, or publicity rights);
- Use the Site for unsolicited promotions, spam, or commercial solicitations;
- Misrepresent your identity or affiliation; or
- Scrape, harvest, or collect data from the Site by automated means except to the extent permitted by applicable law and robots.txt.
Intrepid may, in its sole discretion and without notice, suspend or terminate access for any conduct that violates these Terms or is otherwise harmful to the Site, Intrepid, or others.
User Submissions and Communications
If you submit any information, content, or materials to the Site (including résumés/CVs, supplier information, questionnaire responses, inquiries, feedback, or other submissions) (collectively, “Submissions”), you represent and warrant that you have the right to do so and that the Submissions are accurate and lawful.
Unless a separate written agreement states otherwise, you grant Intrepid a worldwide, non-exclusive, royalty-free, fully sublicensable and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such Submissions in any media for Intrepid’s business purposes.
Intrepid is not obligated to maintain Submissions in confidence unless required by law or expressly agreed in writing.
Third-Party Links and Resources
The Site may contain links to third-party websites or resources. These are provided for convenience only. Intrepid does not control and is not responsible for any third-party content, products, services, privacy practices, or security. Accessing third-party sites is at your own risk, and no endorsement is implied.
No Warranties
THE SITE AND ALL MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, INTREPID AND ITS AFFILIATES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
Intrepid does not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site or the servers that make it available are free of viruses or other harmful components. YOU ASSUME ALL RISK FOR YOUR USE OF THE SITE.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INTREPID, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR COSTS OF SUBSTITUTE SERVICES) ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR MATERIALS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IF, NOTWITHSTANDING THE FOREGOING, INTREPID IS FOUND LIABLE, INTREPID’S TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100) OR, IF APPLICABLE, THE AMOUNT YOU PAID (IF ANY) TO ACCESS THE SITE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM—WHICHEVER IS GREATER.
YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SITE IS TO STOP USING THE SITE.
Indemnification
You agree to defend, indemnify, and hold harmless Intrepid, its Affiliates, and their respective directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Site; (b) your Submissions; or (c) your violation of these Terms or applicable law. Intrepid may assume the exclusive defense and control of any matter otherwise subject to indemnification; you agree to cooperate with Intrepid in asserting any available defenses.
Privacy and Cookies
Your use of the Site is subject to our Privacy Policy and Cookie Policy, which are incorporated by reference. Please review them to understand our practices.
Geographic Reach; Compliance
Intrepid operates the Site from the United States. We make no representation that Materials are appropriate or available for use in other locations. Access from territories where the content is illegal is prohibited. Users are responsible for compliance with local laws.
Governing Law; Venue
These Terms are governed by the internal laws of the State of Delaware, without regard to conflict of laws rules. You agree to the exclusive jurisdiction and venue of the federal or state courts located in Fairfax County in the Commonwealth of Virginia for any dispute arising out of or relating to the Site or these Terms. You waive any objection to such courts’ jurisdiction and venue.
Changes to the Terms
Intrepid may change these Terms at any time. Updates are effective when posted to this page, with the “Last Updated” date revised. You are responsible for reviewing the Terms periodically.
General
These Terms constitute the entire agreement between you and IAH regarding the Site and supersede all prior and contemporaneous understandings. If any provision is found unenforceable, the remaining provisions will remain in full force. No waiver of any provision is a waiver of any other provision or of any subsequent breach. You may not assign these Terms without IAH’s prior written consent; Intrepid may assign these Terms in connection with corporate transactions or otherwise.
